"User," "you," or "your" refers to any individual or entity accessing our website or engaging our services. "Agreement" refers to these Terms and Conditions together with any applicable service proposal or statement of work. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of the Kingdom of Thailand to use our services. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Cipherbloom provides AI integration consulting and implementation services tailored for businesses. Our core offerings include AI Knowledge Graph Construction for mapping organizational relationships and enabling intelligent querying, AI-Driven Quality Assurance Systems for detecting defects and predicting quality issues, and AI-Integrated Digital Transformation Programs that weave intelligent capabilities into broader modernization efforts.

Service details, scope, deliverables, and timelines are defined in individual service proposals or statements of work agreed upon prior to engagement commencement. Our website content provides general descriptions and is not a binding offer. Services are primarily available to businesses operating in Thailand, though specific geographic availability may be discussed during consultation.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and truthful information in any forms or communications, use our website and services only for lawful purposes, refrain from attempting to gain unauthorized access to any part of our systems or data, not reproduce, distribute, or create derivative works from our website content without written permission, and communicate respectfully and constructively with our team throughout any engagement.

5. Intellectual Property

All content on the Cipherbloom website, including text, design elements, graphics, logos, and code, is the intellectual property of Cipherbloom and is protected under Thai and international copyright laws. You are granted a limited, non-exclusive, non-transferable license to access and view our website content for personal or internal business evaluation purposes only.

Regarding deliverables produced during a service engagement, ownership and usage rights are specified in the applicable service agreement or statement of work. Unless otherwise stated in writing, Cipherbloom retains ownership of proprietary methodologies, frameworks, and tools used in delivering services. Your business data and domain-specific content remain your property throughout and after the engagement.

6. Payment Terms

Service fees are quoted in Thai Baht (฿) and are outlined in individual service proposals. Payment schedules, methods, and milestones are agreed upon before work begins. Unless specified otherwise, fees are payable within 30 days of invoice date via bank transfer or other methods specified in your service agreement.

If a project is cancelled by the client after work has commenced, fees for completed milestones and work-in-progress are due in full. Cipherbloom reserves the right to pause or suspend service delivery if invoices remain unpaid beyond 15 days past their due date. Refund terms, if applicable, are governed by the specific service agreement between the parties.

7. Service-Specific Terms

AI Knowledge Graph Construction: The scope of ontology design and data integration is defined during the discovery phase. Extensions to the original scope may require a change order with adjusted timelines and fees. Training sessions are included as specified in the proposal, and additional training can be arranged separately.

AI-Driven Quality Assurance Systems: Model performance depends on the quality and volume of training data provided. Cipherbloom will advise on data requirements but does not commit to specific accuracy thresholds without prior data assessment. The six-month support period begins upon system deployment and covers model retraining and threshold adjustments within the agreed scope.

AI-Integrated Digital Transformation Program: Program timelines and deliverables are managed through a dedicated program manager. Quarterly executive reviews are included. Scope changes across workstreams follow the change management process outlined in the program agreement.

8. Disclaimers

Our website content and service descriptions are provided for informational purposes and on an "as is" basis. While we make reasonable efforts to keep information accurate and up to date, we do not warrant that the content is complete, error-free, or suitable for any particular purpose.

AI systems involve inherent variability. Cipherbloom does not promise specific business outcomes, revenue increases, or performance metrics unless explicitly stated in a signed service agreement. Results depend on numerous factors including data quality, organizational readiness, and implementation fidelity. Our team provides professional guidance and well-engineered solutions, but the integration of AI into business processes carries natural uncertainty.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Cipherbloom's total liability arising from or related to these terms or the use of our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption, regardless of the cause of action.

This limitation applies whether the claim is based on contract, tort, negligence, or any other legal theory. Nothing in these terms excludes or limits liability for matters that cannot be excluded under applicable Thai law, including liability for willful misconduct or fraud.

10. Indemnification

You agree to indemnify and hold harmless Cipherbloom, its directors, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, infringement of third-party rights through data or content you provide, or violation of applicable laws in connection with your use of our services.

11. Confidentiality

Both parties acknowledge that during the course of a service engagement, confidential information may be shared. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and at minimum, a reasonable standard of care. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or regulatory authority.

Confidentiality obligations survive the termination of any service agreement for a period of two years unless otherwise specified in the applicable engagement terms.

12. Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. Cipherbloom reserves the right to terminate or suspend access to our website or services if you breach these terms, engage in unlawful activity, or fail to meet payment obligations after reasonable notice.

Upon termination, your right to access service deliverables is governed by the relevant service agreement. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

13. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, government actions, civil unrest, pandemics, infrastructure failures, or cyberattacks. The affected party shall notify the other as soon as reasonably practicable and make reasonable efforts to mitigate the impact on the engagement.

14. Dispute Resolution and Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these terms or the use of our services shall first be addressed through good-faith negotiation between the parties for a period of not less than 30 days.

If negotiation does not resolve the dispute, either party may submit the matter to mediation under the rules of the Thai Arbitration Institute. If mediation fails, disputes shall be submitted to the competent courts of Prachuap Khiri Khan Province, Thailand, which shall have jurisdiction.

15. General Provisions

These Terms and Conditions, together with any applicable service agreement, constitute the entire agreement between you and Cipherbloom regarding the subject matter herein. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision at any time does not constitute a waiver of that right or provision.

Cipherbloom may assign or transfer its rights and obligations under these terms to an affiliate or successor entity. You may not assign your rights under these terms without our prior written consent. Notices required under these terms should be sent via email to [email protected] or to our business address.

16. Changes to These Terms

We may revise these Terms and Conditions from time to time. When changes are made, we will update the "Effective Date" and "Last Updated" date at the top of this page. Material changes will be communicated via a prominent notice on our website. Your continued use of our website or services after changes take effect constitutes acceptance of the revised terms.
